Terms of Service

The official version of these Terms is in English; other languages are provided for convenience.

These Terms of Service ("Terms") are a binding agreement between you (and the business you represent, "you") and BolivAI LLC ("BolivAI", "we", "us"), a Wyoming limited liability company, governing your access to and use of bolivai.com and the bolivai.cloud platform (the "Services"). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. The Services

BolivAI provides an AI‑powered platform that lets businesses deploy AI agents for messaging (WhatsApp, Instagram, Messenger), voice calls, scheduling, lead generation, content, and related automation, managed from the bolivai.cloud dashboard. We may add, change, or discontinue features at any time.

2. Accounts & eligibility

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information, for maintaining the security of your credentials, and for all activity under your account, including that of team members you invite. Notify us promptly of any unauthorized use.

3. Credits, billing & payments

• The Services are offered on a pay‑per‑use basis. There are no monthly subscription fees unless expressly agreed. You purchase credits, and billable actions debit credits at the rates published on bolivai.com or in the dashboard, which we may update.
• Credit top‑ups are processed by Stripe. Purchased credits do not expire. Bonus credits may carry conditions.
• All sales are final. Except where required by applicable law, all payments and any purchased or used credits are non‑refundable, and we do not provide refunds, returns, or exchanges. Unused credit balances are likewise non‑refundable.
• If your balance reaches zero, paid agent actions pause until you top up. You remain responsible for charges incurred by your agents and team members.
• You are responsible for any taxes associated with your use of the Services, excluding taxes on our income.

4. Acceptable use

You agree not to use the Services to:

• violate any law or third‑party right, or send unlawful, fraudulent, deceptive, harassing, hateful, or harmful content;
• send unsolicited or bulk messages (spam) or message recipients without a lawful basis or required consent;
• impersonate any person or misrepresent your affiliation;
• infringe intellectual‑property or privacy rights;
• upload malware, attempt to gain unauthorized access, probe or disrupt the Services, or circumvent usage limits or security; or
• use the Services to build a competing product, or resell access except as expressly authorized.

We may suspend or limit accounts that we reasonably believe violate these Terms or create risk for BolivAI, its providers, or others.

5. Your data & responsibilities

You retain ownership of the data you and your customers provide ("Your Content"). You grant BolivAI a worldwide, non‑exclusive license to host, process, and transmit Your Content solely to provide and improve the Services. You are responsible for: (a) having all necessary rights, notices, and consents to collect and process your end‑customers' data through the Services; (b) providing your own privacy notice to your end‑customers; and (c) the lawfulness of the messages and automations you configure. Our handling of personal data is described in the Privacy Policy.

6. Messaging & channel rules

When you connect WhatsApp, Instagram, Messenger, or telephone channels, you must comply with the applicable platform policies — including the WhatsApp Business Messaging Policy and Meta Platform Terms — and with messaging and telemarketing laws applicable to you and your recipients (such as obtaining opt‑in consent and honoring opt‑outs). You are solely responsible for the content you send and for obtaining required consents. Channels may impose their own quality ratings and limits that affect deliverability.

Unofficial WhatsApp connections (Evolution API). Some WhatsApp connections we offer use an unofficial gateway (the Evolution API) that links a standard WhatsApp number instead of the official WhatsApp Business API. WhatsApp does not sanction this method, and using it carries a real risk that WhatsApp may rate‑limit, suspend, or permanently ban the connected number at any time and without notice. You connect any such number entirely at your own risk, you are solely responsible for the number you use, and BolivAI is not liable for any throttling, suspension, ban, loss of the number, or related damages. For production or mission‑critical use we recommend the official WhatsApp Business API.

7. Third‑party services

The Services integrate third‑party providers (e.g., Meta, OpenAI, ElevenLabs, Twilio, Stripe, Google). Your use of those integrations may be subject to the providers' own terms, and we are not responsible for third‑party services. Availability of any integration may change.

8. Intellectual property

BolivAI and its licensors own all rights in the Services, including software, models' configuration, designs, and trademarks. We grant you a limited, revocable, non‑exclusive, non‑transferable right to use the Services per these Terms. You may not copy, modify, reverse‑engineer, or create derivative works of the Services except as permitted by law.

9. AI output disclaimer

The Services use artificial intelligence. AI‑generated responses, transcripts, summaries, and content may be inaccurate, incomplete, or inappropriate and should not be relied upon as professional advice (legal, medical, financial, or otherwise). You are responsible for reviewing and for how your agents are configured and used. You should supervise high‑stakes interactions and provide a path to a human where appropriate.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOLIVAI AND ITS PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO BOLIVAI IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

12. Indemnification

You will defend, indemnify, and hold harmless BolivAI and its providers from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, Your Content, your messages, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Services at any time; there are no fixed‑term contracts. We may suspend or terminate your access for violation of these Terms, risk to the Services or others, or as required by law. Upon termination, your right to use the Services ends and we may delete your data as described in the Privacy Policy, subject to legal retention.

14. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict‑of‑laws rules. The exclusive venue for disputes will be the state or federal courts located in Wyoming, and you consent to their jurisdiction, except where applicable consumer law provides otherwise.

15. Changes

We may update these Terms from time to time. We will post the updated version here with a new "Last updated" date; for material changes we will provide additional notice where appropriate. Continued use after changes take effect constitutes acceptance.
